Terms and Conditions of Trade: KDH Group (Pty) Ltd

1. Introduction These Terms and Conditions (“Terms”) govern the supply of goods and services by KDH Group (Pty) Ltd (“the Company,” “we,” “us,” or “our”) to any client or visitor (“Customer,” “you”) accessing our website or placing an order. By engaging with KDH Group, you agree to be bound by these Terms.
2. Products and Services KDH Group specializes in the supply of Safety Wear, Footwear, PPE, Corporate Apparel, Hospitality Uniforms, and Promotional Gifts.

• Product Description: We make every effort to display products as accurately as possible. However, due to the nature of digital displays and manufacturing variations, actual colours and textures may vary slightly from those shown on our website or catalogues.
• Availability: All products are subject to stock availability. We reserve the right to discontinue any product at any time.

3. Pricing and Quotations

• Currency: All prices are quoted in South African Rand (ZAR).
• Validity: Written quotations are valid for 14 days from the date of issue, unless otherwise stated.
• Price Changes: We reserve the right to adjust prices due to fluctuations in exchange rates, supplier costs, or other external factors prior to the final acceptance of an order.
• VAT: Unless otherwise specified, prices may be exclusive of Value Added Tax (VAT), which will be charged at the standard rate where applicable.

4. Orders and Branding

• Order Confirmation: An order is only considered accepted once payment in full has been paid or an official purchase order has been received and acknowledged by us.
• Orders cancelled once placed in writing, will attract a 15% cancellation fee.
• Please note that whilst every effort has been made to fulfill orders accurately, should you take the above products to an external branding company, please make sure you check all items received, BEFORE they get branded. KDH Group cannot accept returns on incorrect items which have already been branded by an external branding company regardless of whether it’s our fault or not.
• Custom Branding: For orders requiring branding (e.g., logos on apparel or gifts), the Customer must sign off on artwork proofs.
  • KDH Group is not responsible for errors in branding (spelling, colour, size) once the artwork proof has been approved by the Customer.
  • Pantone colours will be matched as closely as possible, but exact matches on different materials cannot be guaranteed.

5. Payment Terms

• Payment terms are strictly payment on order.  All funds are to reflect in our bank before orders are placed, unless a credit facility has been approved in writing.

• Timelines: Delivery dates are estimates only. While we strive to meet deadlines, KDH Group is not liable for delays caused by third-party couriers, suppliers, or force majeure events.
• Risk: Risk in the goods passes to the Customer upon delivery to the Customer’s premises or upon collection by the Customer’s courier.

7. Returns and Refunds

• Unbranded Goods: Unbranded items may be returned within 7 days of delivery, provided they are in their original, unused condition and packaging. A handling fee may apply of up to 25%.
• Branded/Customized Goods: Due to the personalized nature of branded items,
• No returns or refunds are accepted for goods that have been branded by our suppliers, unless the product is materially defective or the branding deviates significantly from the approved proof.
• Defects: Any defects or shortages must be reported to us in writing within 24 hours of receipt of the goods.
• Memory Sticks and SD Cards may not be returned.
• Courier fees:  Courier fees for returns are for the buyer’s account and will be deducted from any refunds made.
• Electronic equipment: If the equipment is faulty after the 7 day return policy, the item will be sent to the supplier for assessment, who will decide whether it is a factory fault or damages caused by the buyer.  If it is a factory fault, the equipment may be sent for repairs and not replacement.  If damages are caused by the buyer, any repairs/replacement will be for the buyer’s cost.

• No returns will be accepted for items under R40.00 excluding VAT, unless the item is defective.    

8. Limitation of Liability To the maximum extent permitted by South African law (including the Consumer Protection Act), KDH Group (Pty) Ltd shall not be liable for any indirect, incidental, or consequential damages arising from the use of our products or services. Our total liability is limited to the purchase price of the goods in question.
9. Governing Law These Terms are governed by the laws of the Republic of South Africa. Any disputes arising from these Terms shall be subject to the jurisdiction of the South African courts.
